Terms of Service / End-User License Agreement

WIPsheet — a product of BooksCore Group LLC

These Terms of Service ("Terms") govern your access to and use of WIPsheet, a product of BooksCore Group LLC, a Florida limited liability company ("BooksCore," "we," "us," "our"). By creating an account or using WIPsheet, you agree to these Terms. If you do not agree, do not use WIPsheet.

1. The service

WIPsheet connects to your QuickBooks Online account (read-only) to generate work-in-progress (WIP) schedules, job costing, retainage and change-order tracking, over/under-billing analysis, and bonding-ready exports. WIPsheet reads data from QuickBooks; it does not write back to QuickBooks.

2. Eligibility and accounts

You must be at least 18 and able to form a binding contract. You are responsible for your account credentials and for activity under your account. You must have the authority to connect any QuickBooks Online company you link to WIPsheet.

3. License

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use WIPsheet for your internal business purposes during your subscription. You may not copy, modify, reverse-engineer, resell, sublicense, use WIPsheet to build a competing product, or access it to scrape, overload, or disrupt the service.

4. Your data and QuickBooks connection

You retain ownership of your data. You grant us permission to access and process your QuickBooks data (read-only) to provide the service, as described in our Privacy Policy. You can disconnect QuickBooks at any time from Settings.

5. Subscriptions, trials, and billing

WIPsheet is offered on subscription plans (Solo, Pro, and Bookkeeper/Firm) with a 14-day free trial that does not require a credit card. When paid subscriptions are activated, they are billed in advance on a monthly or annual basis and are non-refundable except as required by law. Plan prices and limits are described on our website and may change with notice.

6. Not professional advice (important)

WIPsheet is a software tool that organizes and presents financial information from your QuickBooks data and explains the figures it produces. WIPsheet does not provide accounting, tax, legal, financial, surety, or bonding advice. Reports and exports are based on the data you and QuickBooks provide. You are responsible for reviewing them, and you should consult your CPA, surety agent, lender, or attorney for professional advice and before relying on any report for bonding, lending, or filing purposes.

7. Availability and third-party dependencies

We aim for high availability but do not guarantee uninterrupted service, and we may modify, suspend, or discontinue features. We are not responsible for QuickBooks Online availability, the accuracy of data inside your QuickBooks file, or changes to Intuit's APIs.

8. Disclaimers

WIPsheet is provided "as is" and "as available," without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, accuracy, and non-infringement, to the maximum extent permitted by law.

9. Limitation of liability

To the maximum extent permitted by law, BooksCore Group LLC will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or bonding capacity. Our total liability for any claim relating to the service will not exceed the amount you paid us for WIPsheet in the 12 months before the claim.

10. Indemnification

You agree to indemnify and hold BooksCore Group LLC harmless from claims arising out of your use of WIPsheet, your data, or your violation of these Terms.

11. Termination

You may cancel at any time. We may suspend or terminate access for violation of these Terms or for non-payment. On termination, your license ends and we handle your data as described in the Privacy Policy.

12. Governing law

These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-laws rules. The exclusive venue for disputes will be the state or federal courts located in Florida.

13. Changes to these Terms

We may update these Terms. We will post the new effective date and, for material changes, provide notice. Continued use after changes means you accept them.
